Note: "Non-exclusive" means that the owner of the property is still able to grant similar licenses to others and the your purchaser is not the only one with the right to use the property.
"Non-transferable" means that the person who has access cannot transfer or assign the license to anyone else. The license is personal and only applies to the licensee.
"Revocable" means that the owner of the property has the right to revoke the license at any time, for any reason, by giving notice to the purchaser.
Together, a non-exclusive, non-transferable, revocable license is a type of limited permission granted to someone else to use a particular intellectual property for a specific purpose, subject to certain conditions and limitations, with the understanding that the owner can still grant similar licenses to others and can revoke the license at any time.
If your use of Our products is outside of the scope of the original license, We reserve the right to settle the breach of this agreement by sending You an invoice for the licenses you have sent to others.

Use Our offering or any related materials and/or communications in an unlawful way or for any illegal or unlawful purpose(s).
Commercial. PLR + MRR (Master Resell Rights)
For our products that include PLR (Private Label Rights) + MRR (Master Resell Rights) and will be explicitly noted in each listing.
1. Grant of License:
Licensor hereby grants Licensee a non-exclusive license to use, reproduce, and resell the digital products acquired from Licensor in accordance with the terms and conditions of this Agreement. Licensee is permitted to resell the products to their customers with Master Resell Rights (MRR), and the Licensee can grant sublicenses.
2. Permitted Uses:
Licensee is permitted to:
Use the Products for personal or business purposes.
Modify the Products for their specific needs.
Sell the Products to end-users for their personal or business use.
Resell or sublicense the Products to other resellers.
Modify, reproduce, or distribute the Products.
Claim ownership of the original designs or any parts thereof.
3. Restrictions:
Use the Products for any unlawful or unethical purposes.
Apply for trademark or copyright.

When you purchase a customizable Canva product from our company, you are granted the permission to modify, edit, change the text, and customize the content as you wish on the Canva website or app. These products are intended for personal and business use only unless the product is purchased with the PLR + MRR (Master Resell Rights) terms. You are not allowed to resell these products unless the product comes with MRR.
Our products come with already done text, copy and images to help inspire your customization. While you are free to use and edit this content, we encourage you to create your own unique text to best suit your needs and branding.
Please note that you are responsible for making any edits or modifications to the content. The company does not provide assistance or make changes to the text on your behalf.
TERMS & CONDITIONS
These Terms & Conditions (“Agreement”) govern the working relationship between S+L Brand Studio (“Designer”), a California-based business located in Orange County, and the client (“Client”) engaging S+L Brand Studio for branding, design, or website services.
By entering into a project with S+L Brand Studio, the Client agrees to the following terms:
1. SCOPE OF SERVICES
S+L Brand Studio will provide branding and/or website design services as outlined in the agreed-upon proposal, invoice, or project brief. All websites are developed using a base template and are customized to reflect the Client’s brand.
2. PAYMENT TERMS
Website Projects: 50% non-refundable deposit is required to begin. The remaining 50% is due upon project completion. In some cases, the balance may be split into no more than three installments, as approved by S+L Brand Studio.
Design Projects Over $1,000: Require 50% deposit upfront, with the remaining 50% due upon delivery.
Final files and website transfers will not be released until all outstanding payments are received in full.
3. NON-REFUNDABLE DEPOSIT
All deposits are non-refundable. If the Client cancels the project after initiating services, the deposit will be forfeited to cover time, labor, and resources allocated.
4. REVISIONS & APPROVALS
Each project includes up to three (3) rounds of revisions.
Revisions requiring new concepts or starting from scratch are considered additional rounds and may incur additional fees.
Clients must provide feedback within:
5 business days (standard projects)
3 business days (accelerated/2-week projects)
Failure to respond within the above windows may result in the project being paused and timelines adjusted.
5. INTELLECTUAL PROPERTY & OWNERSHIP
All designs and work remain the property of S+L Brand Studio until final payment is received.
Once paid in full, the Client is granted full ownership of approved deliverables.
S+L Brand Studio retains the right to showcase completed work in its portfolio and marketing materials.
6. USE OF WEBSITE TEMPLATES
All websites are developed using the Showit platform and are based on a licensed or proprietary template. These templates are then customized to match the Client’s brand, strategy, and content needs.
7. OUTSIDE COLLABORATORS & CONFIDENTIALITY
S+L Brand Studio may engage outside collaborators (junior designers, AI tools, copywriters, white-label developers) to support project execution.
These team members are under internal confidentiality protocols and do not share or disclose Client information externally.
8. CLIENT RESPONSIBILITIES
Client must provide timely feedback, content, and approvals to keep the project on schedule.
If the Client is unresponsive for more than 10 business days without written notice, the project will be paused.
Paused projects may be resumed later; however, all deliverables remain the property of S+L Brand Studio until payment is received and the project is reactivated.
9. TERMINATION
Clients may request to pause or terminate the project at any time. In such cases, the 50% deposit is non-refundable.
If additional work has been completed, the Client may be invoiced for that portion.
A written agreement will outline any partial refunds based on time and resources invested.
Clients may not use, publish, or benefit from any designs, assets, content, or visual work created by S+L Brand Studio—including but not limited to website layouts, graphics, videos, or images—unless full payment has been made and ownership has been transferred.
If S+L Brand Studio is unable to complete the project due to internal circumstances, it will either:
Refund any unused payments beyond the deposit, or
Transfer the project to a white-label partner for completion at no additional cost.
If termination is mutually agreed upon due to design differences or out-of-scope changes, a fair prorated refund (excluding deposit) may be offered.
10. REFERRAL COMMISSIONS
S+L Brand Studio may offer referral commissions for successful client referrals.
Referral commissions will only be paid after the referred project is fully completed and paid in full by the client.
Commissions will not be paid on projects that are canceled, paused indefinitely, or where payment is not received in full.
All future referral relationships will require a written agreement outlining payment terms and conditions.
11. LEGAL JURISDICTION
This Agreement shall be governed by the laws of the State of California. All disputes will be handled in Orange County, CA.

2. Exceptions
We recognize that extenuating circumstances may arise. 3. Product Descriptions
